Terms of Service
Last Updated: March 1, 2026These Terms of Service ("Terms") govern your access to and use of Asynee, including our web app, websites, APIs, and related services (collectively, the "Services"). By creating an account, accessing, or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
1. Eligibility and Account Responsibilities
- You must provide accurate account details and keep them current.
- You are responsible for safeguarding account credentials and all activity under your account.
- You must notify us promptly of unauthorized access or security incidents.
- You are responsible for ensuring your users comply with these Terms.
2. Plans and Billing
- Asynee is currently offered with full feature access at no charge during open rollout.
- If paid plans are introduced later, pricing and effective dates will be communicated in advance.
- If billing is introduced in the future, billing terms, renewal terms, and refund policy will be disclosed at that time.
- Continued use after a future pricing change effective date indicates acceptance of the updated pricing terms.
3. Permitted Use and Restrictions
You may use the Services only for lawful business and internal operational purposes. You may not:
- Reverse engineer, decompile, or attempt to extract source code from non-open components.
- Bypass security controls, permission boundaries, or abuse-prevention controls.
- Use the Services to transmit malicious code, spam, or unlawful content.
- Interfere with service availability, integrity, or performance.
- Use the Services in violation of applicable data protection, employment, or export laws.
4. Customer Data and Content
- You retain ownership of data and content you submit to the Services ("Customer Data").
- You grant Asynee a limited license to host, process, and transmit Customer Data to provide the Services.
- You are responsible for the legality, quality, and permissions related to Customer Data.
- You are responsible for configuring access controls within your organization workspace.
5. Security and Compliance
Asynee implements commercially reasonable technical and organizational safeguards. No system can be guaranteed to be completely secure. You remain responsible for endpoint security, credential hygiene, and internal access governance within your organization.
6. Third-Party Services
The Services may integrate with third-party providers (for example, cloud hosting, authentication, payment, messaging, analytics, or file storage providers). Your use of such integrations may be subject to additional third-party terms and privacy policies.
7. Intellectual Property
- Asynee and its licensors own all rights in the Services, software, trademarks, and documentation.
- These Terms do not grant ownership rights to you.
- Feedback you provide may be used by Asynee without restriction or compensation obligation.
8. Confidentiality
Each party may receive non-public information from the other. The receiving party agrees to use confidential information only for the purpose of these Terms and to protect it with reasonable care.
9. Suspension and Termination
- You may stop using the Services at any time.
- We may suspend or terminate access for material breach, security risk, legal requirements, or abuse.
- On termination, your access ends and we may delete or anonymize data per our retention policies.
10. Service Availability and Changes
We may update, improve, or modify the Services at any time. We may temporarily limit availability for maintenance, security, or operational reasons.
11. Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
12. Limitation of Liability
To the maximum extent permitted by law, Asynee and its affiliates are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or business interruption. Aggregate liability arising from these Terms will not exceed amounts paid by you for the Services during the 12 months preceding the event giving rise to the claim.
13. Indemnification
You agree to indemnify and hold Asynee harmless from third-party claims arising from your Customer Data, your misuse of the Services, or your violation of these Terms or applicable law.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of British Columbia, Canada, excluding conflict-of-law principles. Subject to applicable law, disputes will be resolved in the courts located in Vancouver, British Columbia.
15. Changes to These Terms
We may update these Terms periodically. If changes are material, we will provide reasonable notice (for example by posting updates on this site or in-app). Continued use after the effective date means you accept the updated Terms.
